Job Description
We are looking for an experienced
Assistant Company Secretary
with 8–10 years of relevant experience, preferably with strong exposure to
Listed Companies and SEBI regulations . Key Responsibilities Manage day-to-day
Company Secretarial and compliance activities
for listed and group companies. Ensure compliance with the
Companies Act, 2013, SEBI regulations, LODR Regulations, and other applicable laws . Handle compliances relating to
listed entities , including stock exchange filings and disclosures. Assist in preparation and coordination of
Board Meetings, Committee Meetings and General Meetings , including notices, agendas, minutes and related documentation. Prepare and file statutory forms and returns with the
ROC/MCA and Stock Exchanges . Coordinate with
BSE/NSE, Depositories, Registrar & Transfer Agent (RTA)
and other regulatory authorities. Maintain statutory registers, records and minutes as required under applicable laws. Assist in
Annual Report preparation , corporate governance reporting and related disclosures. Handle
shareholder-related matters , share transfers/transmissions, corporate actions and other secretarial matters. Monitor regulatory changes and ensure timely implementation of new compliance requirements. Coordinate with internal teams, auditors, legal advisors and external consultants. Provide support on
corporate restructuring, mergers, acquisitions and other corporate secretarial matters , as required. Candidate Profile Qualified
Company Secretary (CS)
with 8–10 years of relevant experience. Strong experience in
Listed Company compliance
is mandatory/preferred. Good knowledge of
Companies Act, SEBI, LODR and Stock Exchange compliances . Experience in handling
Board/Committee meetings, ROC filings and stock exchange filings . Strong drafting, documentation and communication skills. Ability to independently manage multiple compliance activities and meet regulatory timelines. Prior experience with a
listed company / large corporate / reputed organization
will be preferred.
