PedalStart is India's fastest-growing startup founders' community and accelerator, working intensively with early-stage startups across every phase of their journey- from ideation to scale-up. We write cheques of $100-250K at pre-seed stages and help our portfolio companies grow post investment.

Role Overview

The Company Secretary will support the VC team and portfolio startups on private placements, corporate actions, and transaction-related compliance. The role focuses on providing investment execution support, conducting basic legal due diligence, and ensuring post-investment corporate compliance for early-stage companies.

Key Responsibilities:

• Check private placement of shares / CCPS / CCDs for portfolio companies
\n
• Ensure compliance with Sections 42 & 62 of the Companies Act, 2013
\n
• Check and approve PAS-4, PAS-5, PAS-3 filings
\n
• Coordinate issuance of share certificates and updating statutory registers
\n
• Conduct basic legal DD for early-stage startups, including capitalisation tables and shareholding history, review of MOA/AOA, shareholder agreements, and prepare DD summary notes for the investment team
\n
• Review and assist with SHA, SSA, term sheets, ESOP documents, and ancillary agreements
\n
• Coordinate with external legal counsel on transaction documentation
\n
• Support closing mechanics and post-closing filings
\n
• Assist in follow-on rounds, secondary transactions, and exits
\n
• Ensure compliance under the Companies Act, FEMA (FDI), where applicable
\n
• Maintain investment documentation repository
\n
• Support internal audits, reporting, and governance checks
\n

Skills Required

\n
• Strong working knowledge of Companies Act, 2013 (private placement focus)
\n
• Familiarity with startup fundraises (Pre-Seed to Series A)
\n
• Understanding of equity instruments (Equity, CCPS, CCDs)
\n
• Ability to read and flag issues in legal agreements
\n
• Structured, detail-oriented, and execution-focused
\n
• Comfortable working with founders and fast-moving deal teams
\n

Qulaifications

\n
• Qualified Company Secretary (ICSI) – Mandatory
\n
• 3-7 years relevant experience in a VC firm, startup-focused law firm, or investment banking/transaction advisory
\n
• Exposure to early-stage startups is a strong plus
\n
